2. Definitions
"Prosio" means the online service published by Salama Forever SRL and accessible via prosio.be as well as the associated application.
"Customer" means the legal entity subscribing to the service for its own professional use and acting as controller for the imported data.
"User" means the natural person — employee, agent or sub-contractor of the Customer — who has an account to access the service.
"Prospect" means a B2B business contact entered or imported into the service.
"Customer Data" means all data imported, entered or generated by the Customer and its Users within the service.
"Contract" means the whole formed by these GTCU, the order, the financial conditions accepted by the Customer and, where applicable, the data processing agreement (DPA).
3. Subject
Prosio is a sales cockpit intended for professionals in the automotive sector (dealerships, groups, distributors). The service enables fleet prospect prioritisation, preparation and follow-up of B2B sales actions, AI-assisted message drafting, sending of commercial emails through the mailbox of the Customer or the User, activity reporting.
Prosio is a decision-support tool: a human User retains the final decision of sending, qualification and follow-up.
4. Acceptance
Applicable documents and their version must be provided to the customer and accepted through the agreed contracting process. Accessing the public demo does not sign a paid contract or DPA. This page does not attest to a contractual signature mechanism.
5. Service description
Depending on service configuration, Prosio provides CSV/XLSX import, company and opportunity follow-up, sales actions and assisted message drafting. Sending uses the configured business workflow, including n8n.
Microsoft Entra sign-in and Outlook linking are separate; they do not by themselves connect CRM delivery to Microsoft Graph. Google provides a limited on-demand preview. Available features and service commitments are specified for the customer environment.
6. Availability
Prosio shall use reasonable efforts to ensure the availability of the service 24/7, excluding scheduled maintenance windows and force majeure incidents.
The applicable service level (SLA) may be the subject of specific commitments within the order or a service addendum. In the absence of any contrary provision, the service is provided on a "best effort" basis.
7. Access and registration
Access is reserved for Users previously authorised by the Customer. The Customer is solely responsible for the list of Users with access, for the scope of their rights and for their withdrawal when they leave the organisation.
Users undertake to provide accurate information when creating the account and to keep it up to date.
8. User account and credentials
Each User has their own credentials. Account sharing is strictly prohibited.
The User undertakes to protect their credentials with a robust password policy, to activate multi-factor authentication when offered, and to inform Prosio without delay of any suspected unauthorised use to contact@prosio.be.
Any action carried out from an authenticated account is deemed to have been carried out by its holder, unless proven otherwise.
9. Rules of use
The User undertakes to use the service in accordance with its intended purpose, in compliance with applicable Belgian and European law, in particular regarding data protection, sales prospecting and electronic communication.
The Customer warrants that it has a valid legal basis for processing the data it imports and that it has fulfilled its information obligations to the data subjects.
10. Prohibited uses
It is in particular prohibited:
— to use the service for unsolicited commercial prospecting to consumers (B2C) ; — to send unlawful, defamatory, fraudulent, infringing, abusive content or content contrary to public order ; — to import data obtained unlawfully or in violation of the rights of third parties ; — to attempt to circumvent security measures, to perform reverse engineering, massive scraping, or unauthorised intrusion testing ; — to resell, sublicense or make the service accessible to an unauthorised third party ; — to generate abnormal load on the infrastructure (scripts, bots, massive automated requests) ; — to use the service for competing purposes (unauthorised benchmark, copy of the interface).
11. B2B service only
Prosio is a service exclusively intended for professionals acting in the framework of their commercial activity (B2B). The Customer warrants that the recipients of its sales actions are business contacts in targeted companies (fleet managers, executives, fleet buyers) and not consumers within the meaning of Book VI of the Belgian Code of Economic Law.
12. Human validation and AI assistance
Messages generated with AI assistance constitute suggestions subject to the human validation of the User before any sending. Prosio does not perform any automatic sending to sensitive contacts without explicit confirmation by the User.
The User remains solely responsible for the content actually sent, the choice of recipient, the timing of sending and compliance with applicable law.
13. Ownership of Customer Data
Customer Data remains the exclusive property of the Customer. Prosio acts as a mere processor within the meaning of the GDPR for the processing operations carried out on behalf of the Customer.
Prosio refrains from any commercial exploitation or disclosure of Customer Data to third parties, except upon written instruction of the Customer or legal obligation.
14. Intellectual property
Prosio (software, code, interface, documentation, brand, visual identity) remains the exclusive property of Salama Forever SRL. The Contract grants the Customer only a personal, non-exclusive, non-transferable licence of use, limited to the duration of the Contract.
Any reproduction, modification, disassembly, decompilation or attempt to discover the source code is prohibited outside the cases provided for by law.
15. Pricing and invoicing
Price, taxes, payment schedule, payment method and consequences of late payment must be set out in the commercial terms accepted by the customer, subject to mandatory law. This page sets no specific price, recovery charge or interest rate.
16. Duration and renewal
Service duration, renewal conditions and notice periods must be agreed in the order. This page does not establish an annual commitment or automatic renewal.
17. Termination
Either party may terminate the Contract as of right, without indemnity, in case of serious breach by the other party which has not been remedied within fifteen (15) days following the sending of a reasoned formal notice.
Prosio may terminate as of right in case of insolvency proceedings of the Customer, breach of the payment obligation, or use manifestly contrary to these GTCU jeopardising the security of the service.
18. Data export and return
Export, return and deletion arrangements must be agreed in the contract and DPA. Contact contact@prosio.be to arrange data return. This page does not guarantee a complete self-service CSV/JSON export or automatic deletion of all data and backups.
19. Liability
Prosio provides the service with the care and diligence of a reasonable professional service provider. Prosio's liability is limited to the compensation of proven direct damage.
Save in cases of wilful misconduct or gross negligence, Prosio's overall liability for all causes combined is limited to the amounts actually received from the Customer during the twelve (12) months preceding the event giving rise to the damage.
Prosio shall not be liable for indirect damages (loss of turnover, loss of customers, damage to reputation) nor for consequences resulting from non-compliant use of the service by the Customer or its Users.
20. Force majeure
Neither party shall be held liable for any breach of its obligations resulting from a case of force majeure within the meaning of Article 5.226 of the Belgian Civil Code, including: general outage of a cloud infrastructure provider, massive cyber-attack exceeding reasonable security measures, mandatory administrative or judicial decision, armed conflict, natural disaster.
21. Changes to the GTCU
Changes are communicated under arrangements agreed with the customer. Changes in scope, purposes or providers may require additional information or agreement. User silence is not presented here as automatic acceptance.
22. Applicable law and jurisdiction
These GTCU are governed by Belgian law. Any dispute relating to their formation, performance or termination shall fall under the exclusive jurisdiction of the courts of the judicial district of Brussels, subject to any mandatory provision to the contrary.
